Acceptance of the Terms of Use
These terms of use are entered into by and between you (the “User”) and PACT AI (“we,” or “us”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, the “Terms of Use”), govern the User’s access to and use of the Interface located at XXXX, including any content, functionality, subpages, and services offered on or through the Interface.The Interface provides access to the Mammoth protocol and related smart contracts that facilitate decentralized interactions with onchain yield strategies and vaults (the “Protocol”), including the ability for participants to deposit supported digital assets, receive receipt tokens, and interact with strategy modules through decentralized networks.The User must read these Terms of Use carefully before using the Interface. By using the Interface, or by clicking to accept or agree to these Terms of Use when this option is made available, the User accepts and agrees to be bound by and comply with these Terms of Use and our Privacy Policy, which is incorporated herein by reference. If the User does not agree to these Terms of Use, the Privacy Policy, or any document incorporated herein by reference, the User must not access or use the Interface. To the extent there is a conflict between these Terms of Use and any additional terms that apply to certain features, these Terms of Use will control unless expressly stated otherwise.This Interface is offered and available only to users who are eighteen (18) years of age or older. By using the Interface, the User represents and warrants that the User is at least the higher of the legal age required to form a binding contract in the User’s jurisdiction or eighteen (18) years of age, and meets all eligibility requirements. If the User does not meet these requirements, the User must not access or use the Interface.The User and Mammoth shall act in good faith toward one another and do all things reasonably necessary or desirable to give effect to the spirit and intent of these Terms of Use.
Changes to the Terms of Use
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Interface thereafter.The User’s continued use of the Interface following the posting of revised Terms of Use means the User accepts and agrees to the changes. The User is expected to check this page each time the User accesses the Interface, so the User is aware of any changes, as they are binding.Notwithstanding the above, we will seek the User’s consent to future modifications to the extent we are required to do so by applicable law.
Electronic Communication
We may be required or choose to provide certain communications to the User in written form. By agreeing to these Terms of Use, the User consents to receiving communications in electronic form, including email or other electronic messages.The User agrees that all terms and conditions, disclosures, or agreements provided by Mammoth electronically satisfy any legal requirement that such communications would satisfy if provided in non-electronic writing. The User waives any right to require an original, wet-ink, non-electronic signature to the extent such waiver is not prohibited by applicable law.
Accessing the Interface and User Security
We reserve the right to withdraw or amend the Interface, and any service or material provided on the Interface, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Interface is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Interface, or the entire Interface, to those who access the Interface (the “Participants”).The User is responsible for:
Making all arrangements necessary for the User to have access to the Interface; and
Ensuring that all persons who access the Interface through the User’s internet connection are aware of these Terms of Use and comply with them.
To access the Interface or some of the resources it offers, the User may be asked to utilize certain Web3 capabilities, such as a cryptocurrency wallet capable of interacting with the User’s web browser (a “Web3 Utility”). It is a condition of use that the User only operates such Web3 Utilities with private keys the User created or has the direct, explicit permission of the party who created the relevant private keys.All information the User provides to interact with the Interface, including through any interactive features, is governed by our Privacy Policy, and the User consents to all actions we take with respect to the User’s information consistent with our Privacy Policy.If the User utilizes a Web3 Utility that relies on a username, password, private key, or any other information as part of its security procedures, the User must treat such information as confidential and must not disclose it to any other person or entity. The User acknowledges that any identity linked to the Web3 Utility is personal to the User and agrees not to provide any other person with access to such identity while using the Interface. The User agrees to lock or otherwise prevent unauthorized use of the Web3 Utility at the end of each session.We have the right to disable any identity associated with a Web3 Utility (including a public address) or to block any internet protocol address from accessing the Interface at any time in our sole discretion for any or no reason, including if, in our opinion, the User has violated any provision of these Terms of Use.
Intellectual Property Rights
The Interface and its entire contents, features, and functionality, including information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof, are owned by Mammoth, its licensors, or other providers of such material and are protected by applicable intellectual property laws.Subject to these Terms of Use, we grant the User a limited, non-transferable, non-sublicensable, non-exclusive, revocable license to use the Interface for personal, non-commercial use until these Terms of Use terminate or the User’s right to access the Interface is terminated.The User must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Interface, except:
The User’s computer may temporarily store copies in memory incidental to viewing materials;
The User may store files that are automatically cached by the web browser for display enhancement;
The User may print or download a reasonable number of pages for personal, non-commercial use;
If Mammoth provides applications for download, the User may download a single copy provided the User agrees to applicable license terms.
The User must not:
Modify copies of any materials;
Use images, video, audio, or graphics separately from accompanying text;
Delete or alter any copyright, trademark, or proprietary notices.
If the User wishes to make any use of material on the Interface other than permitted above, the User should direct requests to [email protected].Any use not expressly permitted is a breach of these Terms of Use and may violate copyright, trademark, and other laws.
Trademarks
The name “Mammoth” and all related names, logos, product and service names, designs, and slogans are trademarks of Mammoth or its licensors. The User must not use such marks without prior written permission, except that the User may reference Mammoth in a truthful, non-misleading manner that does not imply endorsement, affiliation, or partnership beyond ordinary use of the Interface, and does not facilitate deception, fraud, manipulation, or confusion, including phishing or social engineering.All other names, logos, product and service names, designs, and slogans on the Interface are the trademarks of their respective owners.
Prohibited Uses
The User may access or use the Interface only for lawful purposes and in accordance with these Terms of Use. The User agrees not to use or access the Interface:
In any way that violates any applicable law or regulation;
For the purpose of exploiting, harming, or attempting to exploit or harm minors;
To transmit, or procure the sending of, spam, junk mail, chain letters, or similar solicitations;
To impersonate Mammoth, an Mammoth representative, another user, or any other person or entity;
To engage in conduct that restricts or inhibits anyone’s use or enjoyment of the Interface, harms Mammoth or participants, or exposes them to liability;
If the User is subject to economic sanctions or is listed as a restricted person by any applicable authority, including where use would be unlawful in the User’s jurisdiction.
Additionally, the User agrees not to:
Deceive or defraud any person, or provide false or misleading information to unlawfully obtain property;
Promote illegal activity or assist unlawful acts;
Engage in behavior that manipulates markets or protocol activity, including spoofing, pump-and-dump schemes, and wash trading;
Use the Interface to execute transactions that require registration with any regulator or self-regulatory organization in the User’s jurisdiction;
Use any automated system to access the Interface for any purpose, including scraping or monitoring;
Introduce malware, viruses, or harmful code;
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Interface, including the underlying blockchain;
Attack the Interface through denial-of-service or distributed denial-of-service attacks;
Otherwise interfere with the proper working of the Interface.
Monitoring and Enforcement; Termination
We have the right to:
Take appropriate legal action for illegal or unauthorized use of the Interface;
Terminate or suspend access to all or part of the Interface for any reason, including violations of these Terms of Use;
Cooperate with law enforcement authorities or court orders requesting disclosure of identity or other information.
However, we cannot review interactions before they are executed through the Interface. Due to the nature of blockchain and smart contract activity, we may not be able to ensure prompt removal or rectification of objectionable activity after execution. To the fullest extent provided by law, we assume no liability for participant or third-party transactions, blockchain operations, or content.
Reliance on Information Posted
Information presented on or through the Interface is provided for general informational purposes only. We do not warrant accuracy, completeness, or usefulness. The User should not take or refrain from taking any action based on information from the Interface or any other source, including social media posts, articles, links to third-party content, community communications, or tutorials. Any reliance is strictly at the User’s own risk.The Interface may include content provided by third parties. Statements and opinions expressed by third parties are solely those of the persons providing them and do not necessarily reflect Mammoth’s views. We are not responsible for the content or accuracy of third-party materials.
Changes to the Interface
We may update content, design, or functionality of the Interface from time to time, but the Interface may not be complete or current. Any material may be out of date, and we have no obligation to update it.
Information About the User and the User’s Visits
All information we collect through the Interface is subject to our Privacy Policy. By using the Interface, the User consents to actions taken by us with respect to the User’s information consistent with the Privacy Policy.
No Professional Advice
All information displayed by the Interface is for informational purposes only and does not constitute tax, legal, financial, or other professional advice. The User should seek independent professional advice before making decisions. To the fullest extent permitted by law, the User acknowledges that the User has not relied on Mammoth or any participant for professional advice.
Warranty Disclaimer
The User understands that we cannot guarantee that the Interface or files available through it will be free of viruses or destructive code. The User is responsible for implementing procedures for safe access and data protection. To the fullest extent provided by law, we are not liable for loss or damage caused by denial-of-service attacks, viruses, or other technologically harmful materials.THE USER’S USE OF THE INTERFACE IS AT THE USER’S SOLE RISK. THE INTERFACE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, Mammoth DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Mammoth DOES NOT WARRANT CONTINUOUS, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE ACCESS, OR THAT THE INTERFACE WILL MEET THE USER’S EXPECTATIONS.
Limitation of Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL Mammoth OR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE USER’S USE OR INABILITY TO USE THE INTERFACE OR THE PROTOCOL, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, BUSINESS, GOODWILL, OR DATA, EVEN IF FORESEEABLE. THIS DISCLAIMER EXTENDS TO DAMAGES CAUSED BY ANY THIRD PARTY OR ANY FAILURE OF THE PROTOCOL OR UNDERLYING BLOCKCHAINS.
Nature of Blockchain; Assumption of Risk; Waiver of Claims
Blockchains and smart contracts are emerging technologies that involve substantial risk, including security, financial, technical, legal, and regulatory risks. Digital assets can be highly volatile. Transaction speed and costs may vary significantly. Many blockchain interactions are publicly visible.By accessing and using the Interface, the User acknowledges and agrees that the User understands and assumes all risks of using the Interface and interacting with the Protocol. The User further agrees that Mammoth does not own or control public blockchains and cannot be held liable for harms, damages, or losses arising from the User’s use of the Interface or interactions with the Protocol. The User expressly waives and releases Mammoth from any and all claims related to the User’s use of the Interface to the fullest extent permitted by law.
No Fiduciary Duties
These Terms of Use and the Interface are not intended to create fiduciary duties. To the fullest extent permitted by law, the User agrees that neither Mammoth nor any participant owes fiduciary duties to the User and any such duties are disclaimed, waived, and eliminated.
Provisions Specific to Certain Types of Participants
The Interface and Protocol may enable participants to perform certain functions that may be subject to additional agreements or terms incorporated by reference. If the User accesses such features, the User agrees to be bound by applicable additional terms.
Compliance
The Interface may not be available, appropriate, or legal in all jurisdictions. By accessing or using the Interface, the User agrees that the User is solely responsible for compliance with all applicable laws and regulations, including tax obligations.The User may not use the Interface if doing so violates applicable laws or if the User is subject to applicable sanctions or restrictions.
Links from the Interface
If the Interface contains links to third-party sites, they are provided for convenience only. We have no control over third-party content and assume no responsibility. Accessing third-party sites is at the User’s own risk and subject to their terms.
Indemnification
The User agrees to defend, indemnify, and hold harmless Mammoth and its affiliates, licensors, agents, and service providers from claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to the User’s violation of these Terms of Use or the User’s use of the Interface and interactions with the Protocol.
Governing Law and Jurisdiction
All matters relating to the Interface and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Colorado without giving effect to any choice or conflict of law provision or rule (whether of the State of Colorado or any other jurisdiction).
Arbitration; Class Arbitration Waiver
Any dispute, controversy or claim arising out of, relating to or in connection with the User’s use of the Interface or the Protocol, or in connection with this Agreement, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, shall be finally resolved by binding arbitration by the American Arbitration Association under its Rules of Arbitration. The tribunal shall have the power to rule on any challenge to its own jurisdiction or to the validity or enforceability of any portion of the agreement to arbitrate. The parties agree to arbitrate solely on an individual basis, and that these Terms of Use do not permit class arbitration or any claims brought as a plaintiff or class member in any class or representative arbitration proceeding. The arbitral tribunal may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. In the event the prohibition on class arbitration is deemed invalid or unenforceable, then the remaining portions of the arbitration agreement will remain in force.
Class Action and Jury Trial Waiver
Without limiting the arbitration provision, any dispute must be brought in an individual capacity and not as part of any class or representative proceeding. The parties waive the right to a jury trial to the fullest extent permitted by law.To opt out of arbitration, within thirty (30) days of first using the Interface, the User must notify Mammoth in writing with the User’s name and a clear statement of intent to opt out, sent to [email protected].
Injunctive Relief Waiver
To the maximum extent permitted by law, the User agrees that the User will not be permitted to obtain injunctive or other equitable relief that would interfere with the development or operation of the Interface.
Limitation on Time to File Claims
Any cause of action or claim arising out of or relating to these Terms of Use or the User’s use of the Interface must be commenced within one (1) year after the cause of action accrues, otherwise it is permanently barred.
Waiver and Severability
No waiver by Mammoth of any term shall be deemed a further or continuing waiver. If any provision is held invalid, illegal, or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain in full force.
Entire Agreement
These Terms of Use, together with any documents incorporated by reference, constitute the entire agreement between the User and Mammoth regarding the Interface and supersede prior understandings relating to the Interface.
